Job Description:Position : Manager / Senior Manager - Legal Job Location : Thane Job Profile : Implement SOPs for meeting the legal compliances in the company. legal risk management, advisory, documentation, dispute management. Conduct research and update on developments in law and regulations applicable to Compnay keep-up MIS, if any. To make sure that necessary, appropriate and proper legal risk assessment approach and tools and a healthy legal compliance environment. Strengthen the existing legal risk governance framework that integrates legal compliance with the business model. Advising upon, negotiating and drafting Agreements Advise, negotiate and draft agreements relating to Mergers & amp amp Acquisitions. Assist and advise upon structural, commercial and legal issues. Draft contracts/amend standard terms and conditions. Legal Compliance Provide legal advice and make sure that that legal & quot policies& quot are complied with/implemented/updated as required. Make sure that the company is in compliance with all applicable laws, rules and regulations. Litigation Management Draft Replies, Notices, Letters and any miscellaneous communication, preparations of case drafts. Studying lawsuits filed by an individual or other business and find appropriate methods to save and make sure that minimum loss to the company Intellectual Property Initiate fresh trademark filings. Monitor and update the trade marks data bank. To initiate legal action in respect of infringements and passing off Trade Marks. To file legal suits against infringer of the Trademarks. Coordinating and follow-up with foreign attorneys for trade mark registration and giving inputs in drafting response to examination reports. Apply for renewal of existing trademarks. Day-to-Day Responsibilities To review/improve / enhance internal policies / procedures / documentation in accordance with Legal and regulatory requirements on an ongoing basis in consultation with Head (Legal) Timely escalation to the reporting head, both in-country and to the region, where necessary on significant legal risk items, and identifying remediation or mitigation measures for such legal risk items Assisting in imparting training on a continual basis to management, and employees on critical and sensitive aspects related to legal risk and legal compliance matters Handle and review the contracts, claims, disputes or litigation matters on a standard basis and provide updates on the same to the reporting head on the legal remedies, legal risk management and actionables taken and/or contemplated to be taken To assist on other affiliate matters on a need basis in consultation with the reporting Make both India business aware of significant changes in legislation and case law that may affect business practice/corporate risk and liability Provide legal interpretation of signed contracts.
